Konformista — End User License Agreement (Commercial)

Agreement version: 1.0 (23 July 2026) · Effective as of the date you first accept this Agreement. (The app records which version you accepted and when; the text of each version is archived at https://konformista.com/eula.)

This Agreement is between you (and any organization you represent) (“You”) and Fixed Frame Ltd., a company registered in Ireland (company number 820747, registered office 77 Lower Camden Street, Dublin D02 XF80, Ireland) (“Fixed Frame”, “we”, “us”). Where you purchase a license, this Agreement is presented to you and acknowledged at the point of purchase, before payment. In all cases, by clicking “Accept” and installing, activating, or using the paid Konformista software or features (“the Software”), you agree to this Agreement. If you do not agree, do not use the Software.

  1. Intended for business use. The Software is licensed and priced for use by businesses and professionals, and by accepting you confirm you are acquiring it for purposes relating to your trade, business, or profession. Where, despite this, you are a consumer under applicable law, your statutory rights are preserved (see the consumer statutory-rights section below).
  2. License grant. Subject to payment and continued compliance, we grant you a non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely as permitted by the license issued to you, which states your product/tier, number of authorized seats, and license term. Paid features (conform, analysis, export, and Kontroller) are enabled per that license. Kontroller may be licensed and used either as a window within the suite or as a separate, separately-installed application; this Agreement governs it in both forms. Kontroller includes media-management together with time-tracking, billing, and invoicing tools, and is also offered in a time-tracking / invoicing-only tier.
  3. Seats & activation. Each seat authorizes installation and use on one machine at a time. The Software is node-locked and activated online or offline. You may reassign a seat to a different machine — for example after hardware failure or replacement — by deactivating it, or by contacting [email protected] to release it; you may not use the Software on more machines at once than you have licensed. You agree not to exceed your authorized seat count or to circumvent activation or licensing controls.
  4. Updates, maintenance & perpetual use. Your license includes updates released within your covered version or maintenance window as stated at purchase (for example, all v1.x updates). A new major version, or continued updates after your maintenance period, may require an additional purchase. If your maintenance period expires and you do not renew, you keep the right to continue using the last version released during your covered period; you simply will not receive subsequent updates. We are not obliged to provide updates or support beyond what your license states. If we discontinue the Software or cease offering online activation, we will provide a means (such as an offline or unlock license file) to keep any perpetual license usable for its covered version.
  5. Restrictions. You may not (a) share, resell, rent, sublicense, or transfer the Software or your license except as expressly permitted in writing; (b) exceed your seats or license term; (c) reverse engineer, decompile, or disassemble the Software except where that restriction is prohibited by law; (d) circumvent, disable, or tamper with licensing, activation, or usage controls; (e) remove proprietary notices; or (f) use the Software or its non-public technology to develop a substantially similar competing product through copying, reverse engineering, or other unauthorized use. Nothing in this Section restricts any right granted to you under the license of a third-party open-source component (see the notices at https://konformista.com/licenses), or any right you have under Articles 5(3) and 6 of Directive 2009/24/EC.
  6. Ownership of software & your content. The Software is licensed, not sold; Fixed Frame retains all intellectual-property rights in it. You retain all rights to your own media and project data — we claim no ownership of your content and do not upload it to us.
  7. Third-party components & trademarks. The Software includes third-party and open-source components (for example, the Qt / PySide framework, Python, and media-handling libraries) licensed under their own terms; those terms apply to those components. A list is available at https://konformista.com/licenses. DaVinci Resolve and Blackmagic Design are trademarks of Blackmagic Design Pty Ltd; Premiere Pro and Adobe are trademarks of Adobe Inc.; other names are trademarks of their respective owners. Fixed Frame is not affiliated with, authorized by, or endorsed by any of them, and interoperates with their formats independently.
  8. Usage data (opt-in) & offline use. The Software does not send any usage data unless you turn it on. On first run we ask you separately whether you wish to share a small install/launch signal — a pseudonymous installation identifier, the app version, your operating system, system language, and the approximate location (country and city) our hosting provider infers from the network request; it never includes your media or project contents, and we do not retain your IP address. Accepting this Agreement is not consent to usage data, and declining has no effect on your license or the functionality of the Software. You can change your choice at any time in Preferences → Privacy. (Administrators may force it off across a fleet with the environment variable KONFORMISTA_NO_TELEMETRY=1.) Offline and air-gapped use is fully supported. What the signal contains, our lawful basis, retention, and your rights are set out in the Privacy Notice at https://konformista.com/privacy.
  9. Limited warranty. For 30 days after you first download the Software (or, if later, after we make it available to you to download), the Software will perform substantially as described in its documentation; your exclusive remedy for breach is repair, replacement, or a refund of the fees paid for the affected license, at our option. Except for that limited warranty and any statutory rights that cannot be excluded (see the consumer statutory-rights section below), THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. You are responsible for maintaining your own backups; the Software is not a substitute for archival copies.
  10. Limitation of liability. To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, revenue, or production time. Our total aggregate liability under this Agreement will not exceed the greatest of (a) the fees you paid for the license giving rise to the claim, (b) the fees you paid us in the 12 months before the claim arose, or (c) one hundred euro (€100). Nothing in this Agreement excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the laws of Ireland.
  11. Term & termination. This Agreement applies for your license term. It terminates automatically if you breach it (including exceeding seats or circumventing licensing). A license granted for a limited term (for example, a pre-release or beta license) also terminates when that term expires, and pre-release and beta licenses are additionally governed by the Beta Test Agreement (see the beta-and-pre-release-licenses section below), which prevails over this Agreement where they conflict; for perpetual licenses, expiry of your maintenance period does not terminate this Agreement or your right, under the updates-and-perpetual-use section, to keep using your covered version. We may suspend or terminate this Agreement if we reasonably believe you are using the Software fraudulently, abusively, or unlawfully, where reasonably necessary to protect our systems, intellectual property, or other users. On termination you must stop using and remove the Software. Fees already paid are non-refundable except as stated in the limited-warranty section, under any withdrawal right that applies to you as a consumer, or as otherwise required by law.
  12. Changes. We may update this Agreement for future versions of the Software. Material changes apply only to versions that present the updated Agreement for acceptance; if you do not agree, you may stop using the Software (subject to your existing license rights in the version you already have).
  13. Your statutory rights (consumers). If, despite the intended-business-use section above, you are a consumer under applicable consumer-protection law — including the Consumer Rights Act 2022 and any regulations implementing EU digital-content rules — you have statutory rights, including conformity guarantees for digital content and services and, for distance purchases, a right of withdrawal, that cannot be excluded or limited. Any applicable withdrawal right is handled at the point of purchase (see the withdrawal-right section of the Terms of Sale). Nothing in this Agreement affects statutory rights that cannot legally be excluded, and the warranty and liability provisions apply only to the fullest extent permitted by law.
  14. Export & law. You will comply with applicable export-control and sanctions laws. This Agreement is governed by the laws of Ireland, and you and we submit to the exclusive jurisdiction of the courts of Ireland, subject to any mandatory consumer-protection rights in your country of residence. If you are a consumer, nothing here deprives you of the right to bring proceedings in the courts of your country of residence, and we will bring proceedings against you only there.
  15. General. (a) Severability — if any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions stay in full force. (b) Waiver — our failure to enforce a provision is not a waiver of it. (c) Assignment — we may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of our assets; you may not assign or transfer your rights without our written consent. (d) Force majeure — we are not liable for any delay or failure caused by events beyond our reasonable control. (e) Entire agreement — this Agreement, together with the Terms of Sale and your order and license terms, is the entire agreement for the Software; the Terms of Sale prevail on matters of purchase (price, payment, delivery, and withdrawal), and this Agreement prevails on your use of the Software.
  16. Feedback. If you send us suggestions, bug reports, or other feedback about the Software, you grant Fixed Frame a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate it into our products, with no obligation or compensation to you. You are not required to provide feedback, and you need not disclose anything confidential to us.
  17. Beta and pre-release licenses. Software provided under a beta or pre-release license is additionally governed by the Beta Test Agreement at https://konformista.com/beta-terms (also bundled with the build), which prevails over this Agreement where they conflict — including that such software is pre-release, provided strictly “as is” with no warranty, is confidential, and may be changed, time-limited, or withdrawn at any time.

Konformer — Free Software License Agreement

This Agreement is between you (“You”) and Fixed Frame Ltd., a company registered in Ireland (company number 820747, registered office 77 Lower Camden Street, Dublin D02 XF80, Ireland) (“Fixed Frame”, “we”, “us”). By clicking “Accept” and installing or using Konformer (“the Software”), you agree to this Agreement. If you do not agree, do not install or use the Software.

  1. License grant. We grant you a free, non-exclusive, non-transferable license to install and use Konformer on any number of machines for the functionality the Software provides. This license is royalty-free and, for any version you have installed, does not expire — but is subject to this Agreement. We may change, stop distributing, or discontinue Konformer (including any online components) at any time; that does not revoke your license to a version you already hold.
  2. What Konformer is. Konformer is the free companion app. Conforming, analysis, export, and media management are separate paid products (“Konformista”) under a separate agreement; nothing here grants rights to them.
  3. Restrictions. You may not (a) sell, rent, sublicense, or redistribute the Software or charge others for access; (b) modify, reverse engineer, decompile, or disassemble it except where that restriction is prohibited by law; (c) remove proprietary notices; or (d) use the Software or its non-public technology to develop a substantially similar competing product through copying, reverse engineering, or other unauthorized use. Nothing in this Section restricts any right granted to you under the license of a third-party open-source component (see the notices at https://konformista.com/licenses), or any right you have under Articles 5(3) and 6 of Directive 2009/24/EC.
  4. Ownership. The Software is licensed, not sold. Fixed Frame and its licensors retain all intellectual-property rights in it.

Except for any statutory rights that cannot be excluded (see the consumer statutory-rights section below), THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. You are responsible for maintaining backups of your data.
  8. Limitation of liability. To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential damages, or any loss of data, profits, or revenue. Because Konformer is provided free of charge, our total liability is limited to one hundred euro (€100). Nothing in this Agreement excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the laws of Ireland.
  9. Termination. This license ends automatically if you breach it, and we may suspend or terminate it if we reasonably believe you are using the Software fraudulently, abusively, or unlawfully, where reasonably necessary to protect our systems, intellectual property, or other users. On termination you must stop using and delete the Software.
  10. Changes. We may update this Agreement for future versions of the Software. Material changes apply only to versions that present the updated Agreement for acceptance; if you do not agree, you may stop using the Software.
  11. Your statutory rights (consumers). If you are a consumer, you have statutory rights under applicable consumer-protection law — including the Consumer Rights Act 2022 and any regulations implementing EU digital-content rules — that cannot be excluded or limited. Nothing in this Agreement — including the warranty disclaimer and limitation of liability — affects any statutory rights that cannot legally be excluded, and those provisions apply only to the fullest extent permitted by law.
  12. General. This Agreement is governed by the laws of Ireland, and you and we submit to the exclusive jurisdiction of the courts of Ireland, subject to any mandatory consumer-protection rights in your country of residence. If you are a consumer, nothing here deprives you of the right to bring proceedings in the courts of your country of residence, and we will bring proceedings against you only there.
  14. Beta and pre-release versions. Any pre-release or beta version of Konformer we provide is additionally governed by the Beta Test Agreement at https://konformista.com/beta-terms (also bundled with the build), which prevails over this Agreement where they conflict — including that such software is pre-release, provided strictly “as is” with no warranty, is confidential, and may be changed, time-limited, or withdrawn at any time.
